These Terms and Conditions ("Terms") are the rules for using www.tradesmosaic.com (the "Site"), which is operated by Trades Mosaic LLC ("Trades Mosaic," "we," "us" or "our"). Please read them carefully.
In plain terms: the Site shares general information about Trades Mosaic and our operating companies. It is not an offer to buy your business, an invitation to invest or professional advice, and nothing about a transaction is binding until both sides sign definitive written agreements.
By accessing or using the Site, you agree to these Terms and to our Privacy Policy, which explains how we handle personal information. If you do not agree, please do not use the Site.
If you use the Site on behalf of a company, you confirm that you have authority to accept these Terms for it. You must be at least 18 years old to submit information through the Site.
Trades Mosaic LLC is a privately held, operator-led company that acquires and operates trades and infrastructure businesses in Virginia, Maryland, Washington DC and Florida. Our focus includes HVAC, plumbing, electrical, facility services, building automation and energy systems, and mechanical services for government and security-sensitive facilities. We are not a fund. Our offices are at 5680 King Centre Drive, Suite 600, Alexandria, VA 22315.
Our operating companies include Tim Whistler Plumbing (Tessera TWP LLC), Fresh Air Heating, Cooling & Indoor Air Quality (Fresh Air LLC), First Aid Air Conditioning and Strategic Heating & Air. They are separate companies with their own websites, terms and policies, and each is responsible for its own services and customer commitments. Service requests are handled by the operating companies under their own terms, so please contact the operating company that serves your area if you need service.
Everything on the Site is general information about Trades Mosaic, our operating companies and our approach. In particular:
We read the inquiries we receive, but we cannot promise to respond to every one, to respond within a particular time, or to meet with you. Any response time mentioned on the Site, such as "within one business day," is a goal, not a guarantee.
We may decline to pursue any inquiry or opportunity for any reason or no reason. We have no obligation to make an offer, propose terms or complete a transaction.
We treat inquiries about selling a business confidentially and handle personal information as described in our Privacy Policy. However, sending information through the Site, by email or by phone does not by itself create a confidentiality agreement or any other legal duty of confidentiality. Formal confidentiality obligations apply only under a nondisclosure agreement (NDA) signed by both sides.
For that reason, please do not send detailed financial statements, tax returns, customer or employee lists, or other confidential business information until a mutual NDA is in place. Please do not send sensitive personal information, such as Social Security numbers, financial account numbers or medical information, through the Site at all.
DoW SkillBridge is a program of the U.S. Department of War (formerly the Department of Defense) that lets eligible service members gain civilian training and work experience during their last months of service. The Site includes pages about SkillBridge programs hosted by two of our operating companies, Fresh Air LLC and Tessera TWP LLC. Each host company runs its program under its own authorized DoW SkillBridge memorandum of understanding (MOU). Applications submitted through the Site go to the host company that runs the program you choose.

The Site and its content, including text, graphics, photos, logos, page design and code, are owned by Trades Mosaic or its licensors and are protected by copyright, trademark and other laws. "Trades Mosaic" and the names and logos of our operating companies are trademarks of their respective owners. Other names and logos on the Site belong to their owners.
We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site and print or save individual pages for your own informational use. You may not otherwise copy, modify, distribute, republish, frame, sell or create derivative works from the Site or its content without our written permission. We reserve all rights not expressly granted.
You agree not to:
We may suspend or block your access to the Site without notice if we believe you have violated these Terms, or to protect the Site or others.
If you send us ideas, suggestions or other feedback about the Site or our business ("Feedback"), you agree that Feedback is not confidential and that we may use it for any purpose without paying or crediting you. You grant us a perpetual, irrevocable, worldwide, royalty-free license to use, copy, modify and display Feedback.
This license does not apply to personal information, which we handle under our Privacy Policy, or to business information exchanged under a signed NDA, which that NDA governs. When you submit anything through the Site, you confirm that you have the right to share it and that it is accurate to the best of your knowledge.
The Site links to websites we do not operate, including the websites of our operating companies, advertising platforms and other third parties. Each of those websites has its own terms and privacy policy, and your use of an operating company's website or services is governed by that company's terms.
Trades Mosaic is not responsible for the content, accuracy or practices of third-party websites, and a link does not mean we endorse a website or its owner.
When you submit a form or contact us, you agree that we may communicate with you electronically about your inquiry or application, including by email, phone call and text message, using the contact details you provide. Some messages, such as confirmations, may be sent automatically.
To the fullest extent permitted by law, the Site and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy.
We work to keep the Site accurate and current, but we do not guarantee that it is complete, accurate, up to date, uninterrupted, secure or free of errors or harmful components. Information about our operating companies, service areas, programs and plans may change without notice. You use the Site at your own risk.
To the fullest extent permitted by law, Trades Mosaic, its operating companies and affiliates, and their owners, managers, officers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, business opportunity or goodwill, arising out of or related to the Site or these Terms, even if we have been told such damages are possible.
To the fullest extent permitted by law, our total liability for all claims arising out of or related to the Site or these Terms is limited to one hundred U.S. dollars (US$100).
Some jurisdictions do not allow certain limitations of liability, so some of these limits may not apply to you. This section does not limit liability that cannot be limited by law, and it does not change any separate written agreement you sign with us, which governs its own subject matter.
You agree to defend, indemnify and hold harmless Trades Mosaic, its operating companies and affiliates, and their owners, managers, officers, employees and agents from any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of:
We may take over the defense of any such matter at your expense, and you agree to cooperate with us.
These Terms and any dispute arising out of or related to the Site are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules.
Any lawsuit must be brought exclusively in the state courts located in Fairfax County or the City of Alexandria, Virginia, or in the United States District Court for the Eastern District of Virginia, Alexandria Division. You and Trades Mosaic consent to the personal jurisdiction of those courts and waive any objection to venue there.
We may change, suspend or discontinue any part of the Site at any time. We may also update these Terms. When we do, we will change the effective date at the top of this page and note material changes on the Site. Changes apply from the new effective date, and continuing to use the Site after that means you accept the updated Terms.
If any part of these Terms is found invalid or unenforceable, that part will be enforced to the maximum extent allowed and the rest of these Terms will remain in effect. Our failure to enforce any provision is not a waiver of our right to enforce it later.
These Terms and our Privacy Policy are the entire agreement between you and Trades Mosaic about your use of the Site, and they replace any earlier understandings about it. If you sign a separate written agreement with us or one of our operating companies, such as an NDA, letter of intent, purchase agreement, SkillBridge program document or offer of employment, that agreement governs its own subject matter.
You may not assign your rights under these Terms. We may assign ours, including to a successor in a merger, acquisition or sale of assets. Section headings are for convenience only.
